LEUVEN, Belgium and DÜSSELDORF, Germany – 10 November 2010 – Huawei, a leader in providing next-generation telecommunications network solutions for operators around the world, and Option (Euronext: OPTI; OTC: OPNVY), the wireless technology company, today officially signed the agreement for the sale of M4S, Option’s wholly owned 4G RF (Radio Frequency) semiconductor company, to Huawei. 

Under this agreement, and in line with the terms of the announcement made on October 27th 2010, Huawei will acquire 100% of M4S’ outstanding equity interests on a fully diluted basis. The transaction is part of the cooperation agreement announced last month by the two companies to facilitate the development of innovative mobile broadband solutions in Europe.

Cost savings are on track with cash operating expenses (excluding IPRs, depreciation and capitalized R&D) in the quarter of EUR 7.9 million versus the 2010 year end run rate target of EUR 8 million. These savings represents a reduction of 38% compared to the Q3 2009 operating cash expenses.



Option’s transition towards its new business model and new value added product range is continuing to progress. However, we believe, that in line with our statement from the First Half Year 2010 Results, that it is unlikely that the Company will achieve growth in the second half of the year compared to the EUR 30.9 million reported in the first half of the year.



Mr. Arnoud De Meyer resigned from the Board of Directors as he has taken on a new role as president of Singapore Management University in Singapore. The Board of Directors wishes to express its deep gratitude for his thirteen years of dedicated service to the Company and best wishes as he takes on his new responsibilities.



Following the quarter, on October 27th, Option announced a cooperation agreement with Huawei, for a license agreement, the sale of M4S and plans for joint R&D projects. The figures stated above do not include any impact of this agreement.

The companies have agreed, in principle, to work on joint Research & Development projects to stimulate innovation in the telecoms industry. Both companies are also exploring the establishment of a joint R&D centre in Belgium, as well as ways of contributing resources to develop new wireless broadband solutions and software. Through this collaboration, the two parties aim to support the achievement of Europe’s Digital Agenda objectives.

Both companies have agreed to share technologies. Huawei has agreed to license Option’s connection manager software, for which the first year of the license is valued at EUR 27 million. The agreement also includes the potential for an extension of the license for an amount of up to EUR 33 million over the next 18 months.

Both companies furthermore agreed, in principle, that Huawei is going to acquire Option’s wholly owned semiconductor company M4S for approximately EUR 8 million. M4S is developing a state-of-the-art, next generation Radio Frequency chipset to be used in 4G devices. Option initiated a process in July of this year to sell M4S to a company that could better leverage the full scope of its Radio Frequency technology. The sale of M4S to Huawei will enable the M4S technology to avail itself of the vast resources of Huawei’s R&D and distribution capabilities.

In the spirit of the future collaboration, Option has withdrawn its anti-dumping and anti-subsidy complaints against imports of wireless wide area networking modems from China, asked the Belgian government to withdraw its safeguard request, and asked the European Commission to close all three investigations.

“This collaboration between two innovative companies in the wireless technology industry is in the best interest of all stakeholders. The collaboration aims to improve our respective products and solutions and will offer long term benefits to our customers. The software license agreement is a big step forward in one of our key pillars of our strategy,” said Jan Callewaert, Option’s CEO.

LEUVEN, België en DÜSSELDORF, Duitsland, 27 oktober 2010 - Huawei Technologies, een toonaangevende speler op het vlak van telecommunicatie-oplossingen van de volgende generatie voor telecomoperatoren wereldwijd, en Option (Euronext: OPTI; OTC: OPNVY), de specialist in draadloze communicatie, hebben vandaag een samenwerkingsakkoord aangekondigd dat het pad effent voor nieuwe, innovatieve draadloze breedbandoplossingen.

De bedrijven zijn in principe overeengekomen om te werken aan gezamenlijke Onderzoeks- & Ontwikkelingsprojecten om de innovatie in de telecomindustrie te stimuleren. Beide bedrijven onderzoeken ook het oprichten van een gezamenlijk O&O centrum in België, evenals mogelijkheden om middelen te voorzien om nieuwe draadloze breedbandoplossingen en software te ontwikkelen. Via deze samenwerking willen beide partijen de realisatie van de objectieven van Europa’s Digitale Agenda ondersteunen.

Beide bedrijven zijn overeengekomen om technologieën te delen. Huawei heeft ingestemd om een licentie te nemen op Option’s connection manager software. Deze licentie heeft voor het eerste jaar een waarde van 27 miljoen EURO. De overeenkomst bevat ook de mogelijkheid voor een uitbreiding van de licentie voor de volgende 18 maanden en dit voor een bedrag tot 33 miljoen EURO.

Beide bedrijven hebben er mee ingestemd dat Huawei M4S, Option’s 100% eigen halfgeleiderbedrijf, zal verwerven voor bij benadering 8 miljoen EURO. M4S ontwikkelt een state-of-the-art Radio Frequency (RF) chipset van de volgende generatie die kan gebruikt worden in 4G-producten. Option startte in juli van dit jaar een proces op om M4S te verkopen aan een bedrijf dat beter de volle mogelijkheden van deze RF-technologie kan ondersteunen en helpen uitbouwen. De verkoop van M4S aan Huawei maakt het mogelijk dat de technologie van M4S kan terugvallen op de uitgebreide middelen van Huawei’s O&O- en distributiecapaciteiten.

In de geest van de toekomstige samenwerking heeft Option haar anti-dumping en anti-subsidie klachten voor de import van draadloze wireless wide area networking modems uit China teruggetrokken, de Belgische regering gevraagd om de vraag naar vrijwaringsmaatregelen in te trekken en de Europese Commissie gevraagd om de drie onderzoeken te sluiten.

M4S is developing a state-of-the-art, next generation Radio Frequency chipset to be used in 4G devices. Option initiated a process in July of this year to sell M4S to a company that could better leverage the full scope of its Radio Frequency technology. The sale of M4S to Huawei will enable the M4S technology to avail itself of the vast resources of Huawei’s R&D and distribution capabilities.

In the spirit of the future collaboration, Option has withdrawn its anti-dumping and anti-subsidy complaints against imports of wireless wide area networking modems from China, asked the Belgian government to withdraw its safeguard request, and asked the European Commission to close all three investigations.

“This collaboration between two innovative companies in the wireless technology industry is in the best interest of all stakeholders. The collaboration aims to improve our respective products and solutions and will offer long term benefits to our customers. The software license agreement is a big step forward in one of our key pillars of our strategy,” said Jan Callewaert, Option’s CEO.

LEUVEN, België en DÜSSELDORF, Duitsland, 27 oktober 2010 - Huawei Technologies, een toonaangevende speler op het vlak van telecommunicatie-oplossingen van de volgende generatie voor telecomoperatoren wereldwijd, en Option (Euronext: OPTI; OTC: OPNVY), de specialist in draadloze communicatie, hebben vandaag een samenwerkingsakkoord aangekondigd dat het pad effent voor nieuwe, innovatieve draadloze breedbandoplossingen.

De bedrijven zijn in principe overeengekomen om te werken aan gezamenlijke Onderzoeks- & Ontwikkelingsprojecten om de innovatie in de telecomindustrie te stimuleren. Beide bedrijven onderzoeken ook het oprichten van een gezamenlijk O&O centrum in België, evenals mogelijkheden om middelen te voorzien om nieuwe draadloze breedbandoplossingen en software te ontwikkelen. Via deze samenwerking willen beide partijen de realisatie van de objectieven van Europa’s Digitale Agenda ondersteunen.

Beide bedrijven zijn overeengekomen om technologieën te delen. Huawei heeft ingestemd om een licentie te nemen op Option’s connection manager software. Deze licentie heeft voor het eerste jaar een waarde van 27 miljoen EURO. De overeenkomst bevat ook de mogelijkheid voor een uitbreiding van de licentie voor de volgende 18 maanden en dit voor een bedrag tot 33 miljoen EURO.

Beide bedrijven hebben er mee ingestemd dat Huawei M4S, Option’s 100% eigen halfgeleiderbedrijf, zal verwerven voor bij benadering 8 miljoen EURO. M4S ontwikkelt een state-of-the-art Radio Frequency (RF) chipset van de volgende generatie die kan gebruikt worden in 4G-producten. Option startte in juli van dit jaar een proces op om M4S te verkopen aan een bedrijf dat beter de volle mogelijkheden van deze RF-technologie kan ondersteunen en helpen uitbouwen. De verkoop van M4S aan Huawei maakt het mogelijk dat de technologie van M4S kan terugvallen op de uitgebreide middelen van Huawei’s O&O- en distributiecapaciteiten.

In de geest van de toekomstige samenwerking heeft Option haar anti-dumping en anti-subsidie klachten voor de import van draadloze wireless wide area networking modems uit China teruggetrokken, de Belgische regering gevraagd om de vraag naar vrijwaringsmaatregelen in te trekken en de Europese Commissie gevraagd om de drie onderzoeken te sluiten.

Integratie van draadloze module uitgevoerd in minder dan 3 maanden

LEUVEN, België – 22 oktober 2010 - Option (Euronext: OPTI; OTC: OPNVY), de specialist op het vlak van draadloze communicatie, heeft vandaag bekendgemaakt dat het zijn nieuwe, ultradunne draadloze LGA-module (Land Grid Array), de GTM601, heeft ingebouwd in de gloednieuwe, luxueuze designsmartphone T1 van de Scandinavische fabrikant Lumigon. Lumigon koos de GTM601 van Option omdat deze module het mogelijk maakt om geavanceerde 3G-technologie snel en naadloos in te bouwen in de Android smartphone. Het hele proces – van de keuze voor Option over de ontwikkelingsfase tot een afgewerkt toestel – kostte Lumigon amper drie maanden. Zo kon de fabrikant de projectkosten drukken en de risico's beperken, zonder toegevingen te moeten doen op ontwerpvlak.

Om verschillende redenen was de ingebouwde draadloze module van Option de meeste geschikte oplossing. De GTM601 combineert als eerste een ultradun ontwerp met een indrukwekkend aantal specifikaties: een wereldwijde 2G/3G-dekking, een dataverbinding met HSPA+-snelheden tot 14,4 Mbps (downloaden) en 5,76 Mbps (uploaden), een erg gevoelige gps-verbinding en PCM-spraakcompatibiteit. De GTM601 voert de warmte bovendien uitstekend af en verbruikt weinig energie, belangrijke factoren voor dunne mobiele toestellen. De naadloze integratie van de GTM601 in Android maakte de softwareontwikkeling nog eenvoudiger.
