All of the certifications were achieved with the same Stock Keeping Unit (SKU) of CloudGate. Designed with the penta-band MDM6600™ chipset by Qualcomm, the same CloudGate unit supports the multiple wireless standards used by the major network operators in North America and can be configured for any desired service provider. The radio firmware needed for the desired service provider can be designated at the point of installation. The hardware expansion boards and any custom software for the embedded Linux operating system can also be easily installed at the point of installation providing a true single SKU capability.

Title: The evolution of a Connected Service

The uptake of M2M or connected services in various devices, machines and vehicles is growing steadily and from some 15 years in the business of realizing connected services there are a few learning’s. First of all, many of our customers are launching products with lifecycles of 5-10 years. As the product itself is connected, for example a car, it also means the connected service can constantly evolve, hence the connected service experience in a car should always feel up to date. In a hyper-competitive global market place the lifecycle view is important. Making it easier for customers not only to build a connected service to reduce time to market, but also to efficiently manage and operate the service over time is critical. Finally, ensuring that the service is flexible enough to evolve, as market needs and technology are constantly changing, is equally important.
Let me give a couple of examples, starting with the connected car – within a few years it has moved from basic safety and breakdown assistance services to multiple services both within and outside the car. These include navigation with real time traffic information and weather reports, streaming internet radio and other infotainment services. Pay-as-you-drive insurance schemes, road tolls and remote diagnostics to enable proactive service bookings are other examples of connected services. Additionally, the services are deployed in more and more countries. Hence, the connectivity needs and the services around connected products are drastically changing.
Another example is the home alarm; from being just an SMS transmission in the event of an alarm, it is becoming a communication hub in the home, remotely opening doors, and steering home appliances. Of course, more advanced alarm services can now be offered, such as real-time visuals and updates when your children get home from school.
Design smart from start
The key to success is to build in a flexible approach in the offering to enable constant fine tuning. The early stages of solution design are important. Designing based on open standards and avoiding technical lock-ins is of course essential if your product is going to be in market for the next 10 years. Telenor Connexion’s eCAF service based on open standards is providing the means to significantly reduce development cost and communication cost over time, which in turn will make our customers more competitive. This also means we can take an agnostic approach to communication technology.
In addition, as more and more products are going online, hacking attempts are likely to increase. Building in security features, optimized for wireless communication is getting increasingly important and an aspect you should pay full attention to right from start.

Operating connected services across different regions and technologies is increasingly complex and requires end-to-end know-how to ensure the best end-user experience. The task grows naturally over time as volumes are increasing. Lately, more and more customers choose to outsource the entire operations of connected services to fully gain synergies our existing setup of 24/7 global operations with dedicated expertise, who can act proactively, secure functionality and give peace of mind.

The financial information reported in this release is presented in Euros and has been prepared in accordance with the recognition and measurement criteria of IFRS as adopted by the European Union. The accounting policies and methods of computation followed in the attached financial statements are the same as those followed in the most recent annual financial statements.
Business Update
After finishing an industrial transformation, Option concentrated its efforts in the second half year of 2012 on testing, fine-tuning and go-to-market activities for its new line of products and services, including e.g. WiFi in the car with XYFI. The development of the products XYFI and VIU² have resulted in the buildup of some valuable new assets including a service management platform, a multi device user interface with streaming capabilities and routing software. These assets have allowed the Company to further improve the features of its existing products and will continue to do so for new product lines.
The most important new product-line that the Company launched in the second half of 2012 was CloudGate, a secure, reliable and affordable 3G M2M gateway that brings new levels of flexibility and ease of deployment for M2M solutions. Soon after the launch in October 2012, the Company announced partnerships with distributors, leading US System Integrators and developers, such as ILS, GetWireless, ClearConnex, Exosite, and Hilton Development Group. The fact that these and other partners signed up so quickly demonstrates the pent up demand for a configurable, reliable and affordable M2M gateway. The Company continues to work on further developing an ecosystem to secure a good market coverage and presence in the different M2M segments. The first CloudGate products were shipped in Q4, 2012 and have successfully been deployed in a number of field trials.
The Company also continues to focus on cost reductions. In line herewith, a restructuring exercise at Option Wireless Ltd. (Ireland) and Option France (France) has started. It is anticipated that these exercises will have a positive impact on the cost base in the second half of 2013. The restructuring exercise of Option Wireless Ltd. leads to a reduction of the net equity position of Option NV. As the net equity of Option NV falls below the threshold of one half of its share capital, the Company is required by law and in accordance with article 633 of the Belgian Code of Companies, to organize a Special General Meeting of Shareholders to vote on the continuity of the company.
Option confirms its intention to raise the amount of minimum 9 million EUR via the issue of a convertible bond. As announced in January the Board expects that this transaction will be concluded before the end of the first quarter of 2013. In order to bridge potential cash requirements until the completion of the transaction, the Company came to an agreement with Mondo NV, controlled by Jan Callewaert, on a mid term loan facility up to a maximum amount of 5 million EUR.
Financial Highlights of the second half year 2012
- Total revenues for the second half year of 2012 were EUR 17.6 million compared with EUR 24.1 million realized in the second half year of 2011. Product related revenues decreased from EUR 7.7 million in the second half of 2011 till EUR 6.8 million in the same period of 2012, while software and license revenues decreased from EUR 16.4 million in the second half of 2011 to EUR 10,8 million in the same period of 2012. EUR 10.6 million of that amount came out of licenses. The decrease is explained by the fact that the license agreement with Huawei has ceased in the course of Q4, 2012.
- Gross margin for the second half year 2012 was 47.3% on total revenues, compared with a gross margin of 69.1% for the comparable period in 2011. The gross margin for the second half year 2012 was negatively affected by less important license revenues and by an inventory write off of EUR 3.7 million. The Company has assessed its inventory and has revalued some of its products leading to an extraordinary write off.
- Compared to the second half year 2011, total operating expenses in the second half of 2012 decreased with EUR 8.6 million from EUR 16.8 million to EUR 8.2 million as a result of the continuing efforts of an effective cost control within the Group, but also impacted by a negative impairment on capitalized R&D for an amount of EUR 3.6 million and a positive effect by lowering the IPR accrual for an amount of EUR 6.7 million. The company has assessed its capitalized R&D expenses and has decided to concentrate them on two platforms (3G and LTE). The company took an extraordinary write off of EUR 3.6 million on other projects. The company also reassessed its outstanding payables regarding IPR obligations and, taking into account fair market conditions and external advice, the Board of Directors decided to decrease the outstanding payables with an amount of EUR 6.7 million.
- The second half year 2012 EBIT amounted to EUR 0.1 million compared with EUR –0.1 million during the corresponding period in 2011.
- Result before taxes amounted to EUR 0.02 million in the second half of 2012 compared with EUR 0.06 million during the corresponding period in 2011.
Financial Highlights of the full fiscal year result 2012
- Total revenues for the full year 2012 were EUR 40.8 million, a decrease of 18.2% compared with EUR 49.9 million revenues realized during the comparable period in 2011. Software and license revenues decreased from EUR 30.7 million in 2011 to EUR 28.2 million in 2012, explained by the fact that Huawei license revenue stopped during Q4. EUR 27.0 million of that amount came out of licenses. Product related revenues decreased from EUR 19.2 million in 2011 to EUR 12.6 million in 2012, due to the phasing out of the old products and the fact that the sales of new products did not compensate this decline.
- Gross margin for the full year was EUR 25.9 million compared with EUR 30.7 million in 2011. Gross margin year to date in 2012 was 63.4%, compared with a gross margin of 61.6% in 2011. Also in 2012 the gross margin was positively impacted by license revenues, delivering higher margins compared to revenues generated by products. During 2012 the company booked an inventory write off for an amount of EUR 4.3 million.
- Compared to the full year 2011, total operating expenses for 2012 decreased with EUR 12.0 million from EUR 34.3 million to EUR 22.3 million. The reduced expenses are the result of the downsizing of the Company, combined with lower sales related costs as well as effective cost control within the Group. As explained above in the financial highlights of the second half year the operating expenses were negatively impacted by impairment on the capitalized R&D for an amount of EUR 3.7 million and a positive impact by lowering the IPR accrual for an amount of EUR 7.4 million.
- EBIT was EUR 3.6 million or 8.8% on total revenues during the full year 2012, compared with EBIT of EUR –3.6 million or –7.2% on total revenues in 2011.
- The 2012 net result was EUR 3.6 million compared with a net result of EUR –2.9 million in 2011, or EUR 0.044 per basic share in 2012 compared with EUR -0,035 per basic share in 2011.
- The Group’s balance sheet includes EUR 3.1 million in cash. The trade and other receivable position decreased from EUR 3.9 million to EUR 3.2 million and the inventory levels from EUR 6.8 million to EUR 4.0 million by the end of 2012. The intangible assets impacted by a negative impairment of EUR 3.7 million decreased from EUR 8.8 million in 2011 to EUR 4.9 million in 2012. The trade and other payable position decreased to EUR 11.9 million from EUR 18.1 million impacted by lowering our IPR accrual. The Group didn’t receive any licenses from Huawei in 2012 compared to the EUR 33 million in Q1 2011 as prepaid licenses. As result, there is a decrease of deferred revenue from EUR 27.1 million to EUR 0.1 million. No deferred tax asset was recognized.

In accordance with the requirements of the current legislation on the disclosure of major participations in issuers of which shares are admitted to trading on a ‘regulated market’, are any natural or legal person who, directly or indirectly, acquire or resign shares or other voting granting financial instruments of the company, whether or not they represent capital, compulsory by the law applicable at that time, are obliged to inform both the Company and the FSMA of the number of financial instruments owned as well as the percentage of existing voting rights whenever the voting rights are attached to these financial instruments reach a first time three percent (3%) and then five percent (5%) or a multiple of five percent (5%), exceed or fall below such percentage. The involved shareholders must comply with the statutory requirements and regulations in this regard.

LEUVEN, Belgium – August 30, 2013 – Option (EURONEXT Brussels: OPTI; OTC: OPNVY) announces the appointment of Christine Pollie as Chief Financial Officer (CFO) of the Company. She will be responsible for all international financial activities of the Option group, the financial consolidation and reporting of the Company.
Before joining Option Christine Pollie held various financial management posts in public companies across various segments. Previously she worked in senior financial positions for KBC-Almanij (banking), CFE (construction) and GIMV (venture capital). In 2006 she joined Galapagos (biotech) as Senior Finance Group Director. After a short stint at the Luxemburg based Sword Group (IT Services) as CFO of the Services division, she will now be the new CFO of Option. Mrs. Pollie has a degree in Accounting & Tax and obtained a Master in Applied Economics at the University of Antwerp (Belgium).

IMS research forecast that, the global market for cellular M2M VAS will rise to $10 billion by 2017. The VAS market represents an array of business and technical services that complement managed cellular connectivity and application platform services. These services enable application developers, service providers and corporate adopters to create, deploy and manage cellular M2M applications.
The growth of the VAS market in this area will be driven by the boom in cellular M2M connections. Global M2M cellular connections are expected to rise to 374.9 million by 2017, expanding at a compound annual growth rate (CAGR) of 26.5 percent from 91.4 million in 2011.

Title: The evolution of a Connected Service

The uptake of M2M or connected services in various devices, machines and vehicles is growing steadily and from some 15 years in the business of realizing connected services there are a few learning’s. First of all, many of our customers are launching products with lifecycles of 5-10 years. As the product itself is connected, for example a car, it also means the connected service can constantly evolve, hence the connected service experience in a car should always feel up to date. In a hyper-competitive global market place the lifecycle view is important. Making it easier for customers not only to build a connected service to reduce time to market, but also to efficiently manage and operate the service over time is critical. Finally, ensuring that the service is flexible enough to evolve, as market needs and technology are constantly changing, is equally important.
Let me give a couple of examples, starting with the connected car – within a few years it has moved from basic safety and breakdown assistance services to multiple services both within and outside the car. These include navigation with real time traffic information and weather reports, streaming internet radio and other infotainment services. Pay-as-you-drive insurance schemes, road tolls and remote diagnostics to enable proactive service bookings are other examples of connected services. Additionally, the services are deployed in more and more countries. Hence, the connectivity needs and the services around connected products are drastically changing.
Another example is the home alarm; from being just an SMS transmission in the event of an alarm, it is becoming a communication hub in the home, remotely opening doors, and steering home appliances. Of course, more advanced alarm services can now be offered, such as real-time visuals and updates when your children get home from school.
Design smart from start
The key to success is to build in a flexible approach in the offering to enable constant fine tuning. The early stages of solution design are important. Designing based on open standards and avoiding technical lock-ins is of course essential if your product is going to be in market for the next 10 years. Telenor Connexion’s eCAF service based on open standards is providing the means to significantly reduce development cost and communication cost over time, which in turn will make our customers more competitive. This also means we can take an agnostic approach to communication technology.
In addition, as more and more products are going online, hacking attempts are likely to increase. Building in security features, optimized for wireless communication is getting increasingly important and an aspect you should pay full attention to right from start.
Managed operations
Operating connected services across different regions and technologies is increasingly complex and requires end-to-end know-how to ensure the best end-user experience. The task grows naturally over time as volumes are increasing. LEUVEN, Belgium - April 25, 2013 - Option (EURONEXT Brussels: OPTI; OTC: OPNVY) today announced that during the first quarter of 2013 the Company generated revenue of EUR 2.2 million. As reported in previous trading updates, the revenue now reflects the expiration of the Huawei licence agreement.
The ecosystem for CloudGate continues to build up in the United States. Agreements have been signed with additional Application Enablement Platform partners who provide middleware and hosted service platforms. Resellers have taken inventory of the CloudGate and are running marketing campaigns. Customer projects are in the piloting and deployment stages.
In Europe, the ecosystem is starting to build with the commercial launch of CloudGate in the second quarter.
CloudGate enables the Company to address the Machine to Machine (M2M) market which is expected to grow at an average CAGR of 33% to a market size of $ 85 Billion by 2017 according to Machina Research and Markets and Markets.
During the first quarter, EUR 9 million funding was raised via the issue of a convertible bond. The funding was subscribed by 5 partners: the Flemish investment company PMV, Athos Investments, Life Science Research Partners, Mondo and Jan Callewaert. As a cost-reduction measure, it was also decided to close the office in Paris (France) and to further reduce the facility in Cork (Ireland).
The combination of the new funding with further cost reductions and the projected sales of products should allow Option to build out a profitable business focused on B2B and M2M solutions.

The Company has secured € 9 million via the issue of a convertible bond. The 5-year convertible bond matures in March 2018, and can be converted into 31,034,483 new shares of Option N.V. The convertible bond has an annual interest rate of 5% with an initial conversion price of € 0.285 which is the average share price during the 30 days prior to the issuing of the convertible bond.
The agreement between the Company and Mondo on a mid term loan facility in order to bridge potential cash requirements until the completion of the private placement, will as a result of the issue of the convertible bond be terminated. The loan facility was not used.

The financial information reported in this release is presented in Euros and has been prepared in accordance with the recognition and measurement criteria of IFRS as adopted by the European Union. The accounting policies and methods of computation followed in the attached financial statements are the same as those followed in the most recent annual financial statements.
Business Update
After finishing an industrial transformation, Option concentrated its efforts in the second half year of 2012 on testing, fine-tuning and go-to-market activities for its new line of products and services, including e.g. WiFi in the car with XYFI. The development of the products XYFI and VIU² have resulted in the buildup of some valuable new assets including a service management platform, a multi device user interface with streaming capabilities and routing software. These assets have allowed the Company to further improve the features of its existing products and will continue to do so for new product lines.
The most important new product-line that the Company launched in the second half of 2012 was CloudGate, a secure, reliable and affordable 3G M2M gateway that brings new levels of flexibility and ease of deployment for M2M solutions. Soon after the launch in October 2012, the Company announced partnerships with distributors, leading US System Integrators and developers, such as ILS, GetWireless, ClearConnex, Exosite, and Hilton Development Group. The fact that these and other partners signed up so quickly demonstrates the pent up demand for a configurable, reliable and affordable M2M gateway. The Company continues to work on further developing an ecosystem to secure a good market coverage and presence in the different M2M segments. The first CloudGate products were shipped in Q4, 2012 and have successfully been deployed in a number of field trials.
The Company also continues to focus on cost reductions. In line herewith, a restructuring exercise at Option Wireless Ltd. (Ireland) and Option France (France) has started. It is anticipated that these exercises will have a positive impact on the cost base in the second half of 2013. The restructuring exercise of Option Wireless Ltd. leads to a reduction of the net equity position of Option NV. As the net equity of Option NV falls below the threshold of one half of its share capital, the Company is required by law and in accordance with article 633 of the Belgian Code of Companies, to organize a Special General Meeting of Shareholders to vote on the continuity of the company.
Option confirms its intention to raise the amount of minimum 9 million EUR via the issue of a convertible bond. As announced in January the Board expects that this transaction will be concluded before the end of the first quarter of 2013. In order to bridge potential cash requirements until the completion of the transaction, the Company came to an agreement with Mondo NV, controlled by Jan Callewaert, on a mid term loan facility up to a maximum amount of 5 million EUR.

The new shares have been issued at an issuance price of 14,50 EUR per share and placed with a group of selected European institutional investors. As a result of the private placement, Option raised a total of 8.000.000 EUR.
The new shares issued as a result of this private placement will have similar rights as the existing shares of Option NV.

Leuven, Belgium - 15 April, 2004 - Option NV (Euronext: OPTI) today announces that its board of directors has decided on April 15, 2004 to execute a private placement of new shares to a limited group of European institutional investors for a total amount of € 8.000.000 through the issuance of new shares whereby the capital will be increased within the framework of the authorized capital with cancellation of preferential subscription rights of existing shareholders.
The issuance price per new share was determined through a bookbuilding procedure with a minimum price set at the average closing price of the last 30 days prior to the subscription by the institutional investors.
The private placement was targeted towards a limited number of European high-quality institutional investors, whereby only minimum subscriptions of € 250.000 were accepted. The offer was for more than 2 times subscribed and therefore the orderbook was closed after a few hours only.
On April 13, 2004, the Banking, Finance and Insurance Commission has granted Option a full exemption from the obligation of the publication of a prospectus in application of article 6, 3°, a) of the Royal Decree of September 18, 1990. Option filed a request to Euronext Brussels to list the newly issued shares on the First Market of Euronext Brussels.
Option will use the proceeds of the private placement primarily to fund the concrete growth perspectives coming from the positive evolution in demand in the sector, Option’s extremely well positioned product offering on one hand, and on the other hand the development of new solutions based on combined technologies UMTS, WiFi and EDGE, that will sustain this growth.
The shares that will be issued as a result of this private placement will have the same rights as the existing shares of Option NV.

8. Miscellaneous.
In order to be admitted to the abovementioned Annual Shareholders' Meeting, the holders of securities issued by the Company must follow the provisions of articles 29 and 30 of the Articles of Association of the Company and article 536 of the Companies Code and also fulfill the following formalities : (i) if they are owners of registered shares, notify the Company of their intention to attend the Annual Shareholder’s Meeting, by sending a letter by regular mail to the Company’s registered office; (ii) if they are owners of dematerialized shares deposited through Euroclear, deposit, at the latest five working days prior to the date of the Annual Shareholders' Meeting, a certificate at the registered office of the Company, drawn up by the recognized holder of their securities' accounts or by Euroclear itself, confirming the number of shares registered under the name of the shareholder and declaring that the shares are non-negotiable until the date of said Annual Shareholders' Meeting; and (iii) if they are owners of warrants, they must inform the Company in writing, by an ordinary letter addressed to the registered office of the Company, at least five working days prior to the meetings, of their intention to attend the meeting.
Shareholders can vote by proxy or by letter, using documents drawn up by the Company and which can be obtained at no cost at the registered office of the Company. The proxies have to be deposited at the registered office of the Company at the latest five (5) business days prior to the date of the meeting. The owners of dematerialized shares who whish to vote by proxy or by letter have to deposit, in addition to the documents properly filled out, the certificate drawn up by the recognized holder of their securities' accounts or by Euroclear itself, confirming the number of shares registered under the name of the shareholder and declaring that the shares are non-negotiable until the date of said Annual Shareholders' Meeting.
In order for the vote by letter to be valid, a form must be sent by registered mail with acceptance receipt to the Company’s registered office, which must be sent at the latest six days before the Annual Shareholders’ Meeting (the postage stamp shall serve as proof) and which must contain the following information: (i) mentioning of the complete and accurate indication of the shareholder and of the number of shares he is voting with; (ii) the complete agenda; (iii) the proposals of decision and the voting instructions of the shareholder (for, against and abstain). The shareholder may explain or motivate his or her voting instructions.
A copy of the documents and reports mentioned in the agenda of the Annual Shareholders' Meeting can be obtained at no cost at the registered office of the Company.

Leuven , 5 January 2004 . Option NV (Euronext: OPTI) announced that on December 30, 2003 , 1.066.246 new shares were issued as a result of the conversion of the subordinated bonds created on 16 July 2001 . As a result thereof, the capital has been increased by € 629.085, bringing the total amount of capital to € 5.510.082,34, represented by 9.285.231 outstanding shares.
GIMV NV , Jan Callewaert and Partners@Venture requested the company to convert their respective bonds. By conversion, respectively 479.811, 479.811 and 106.624 new shares were issued to GIMV, Jan Callewaert and Partners@Venture . The number of shares that can be issued upon conversion is equal to the nominal value of the bond (€ 316.542) divided by the price of the share (€ 5,9375), calculated as the average of the share price on NASDAQ Europe during (30) calendar days before the issuance of the bonds.
These subordinated convertible bonds were originally underwritten by Mr. Jan Callewaert , Option's CEO and by GIMV NV , each obtaining ten bonds with a nominal value of € 316.542 per bond. In the course of 2002, two bonds were transferred to the company "Partners@Venture". On 27 December 2001 the maturity date of the subordinated convertible bonds was extended until 26 January 2004 .

The articles of association stipulate that the Board of Directors is composed of a minimum of three and a maximum of nine members, who are appointed by the general shareholders meeting for a maximum period of six years. The Board of Directors has to contain at least three independent directors.
The Board of Directors is currently composed of four members, namely: Eric Van Zele (Chairman of the Board of Directors), Raju Dandu, Martine Reynaers and Paul Matthijs.
Eric Van Zele
Mr. Eric Van Zele currently serves as Chairman of Reynaers Aluminium and Crescent NV. He was recently appointed chairman of the E17 network of hospitals and of the Hermes decision committee of The Flemish agency for Innovation and entrepreneurship. He continues to serve as a director of Barco NV. Prior to his current mandates Eric served as president and CEO of Barco NV in Kortrijk from 2009 thru 2016. He served as CEO of Pauwels International (from 2004 thru 2008) and of Telindus nv (2000 thru 2003). Prior to that, he served as Vice President of Raychem Corporation in Menlo park, CA, USA and as Managing Director of Raychem nv in Leuven, Belgium. (1972 thru 1999). He was nominated “Manager of the Year in 2012” and “ICT Personality of 2013”. Eric holds a masters degree in electrical and mechanical engineering from the KUL in Leuven (1972) and postgraduate degrees in management from Stanford University (1992 CA, USA).
Raju Dandu
Mr. Raju S. Dandu is the Founder-Chairman of Danlaw Inc. USA. He is also the Managing Director of Danlaw Technologies India Ltd. He is responsible for strategic planning and corporate management of both companies. Prior to founding Danlaw Inc., he held positions at the University of Iowa hospitals, Ford Motor Company, Dana Corporation and worked as an independent consultant at General Motors. He holds a bachelors’ degree in electronics engineering from Kakinada, India, a masters in electronics from University of Iowa and an MBA from University of Detroit.
Martine Reynaers
In 1980, Martine started her career as Financial Analyst of Technicon in Paris, a subsidiary of the
American Revlon Group.
In 1982, she was appointed Financial Manager of Wexal International Ltd, an aluminium extrusion
company in Enniscorthy, Ireland.
In 1983, she moved to the Reynaers headquarters in Belgium, where she took up the position of
Financial Manager. From 1986 onwards, Martine has been the Managing Director of Reynaers until
June 2021 when she will retire from this position and take on the role of Chair of the Board.
Paul Matthijs
Next to holding several non-executive advisory positions, Paul Matthijs is COO of Vlerick Business School. Prior to this, Paul Matthijs was CEO of Niko until 2019 and held several senior executive positions in R&D, product management and general management in the Medical Imaging and Entertainment division and the Retail and Advertising Venture of Barco. Mr. Matthijs' career at Barco spanned over 30 years. He holds a Master’s degree in Electronic Engineering and an MBA from the Vlerick Business School.
